Welcome to Backlinkz.io and marketplace.backlinkz.io (collectively, the “Sites”), operated by BACKLINKZ (1368468 B.C. LTD.), a Canadian company with its principal office at Transit 01800, North Vancouver, British Columbia, V7M 2J5 (“Backlinkz,” “we,” “us,” or “our”).

By accessing or using our Sites, you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree, please do not use our Sites or services.

1. Overview of Services

Backlinkz provides a digital platform and online marketplace where users can:

Create profiles, list, and purchase backlinks, SEO-related services, or digital marketing assets
Interact with other users through reviews, listings, or messages
Access SEO tools, analytics, and related educational materials

We reserve the right to modify or discontinue any features of the Sites at any time without prior notice.

2. Eligibility

To use the Sites, you must:

Be at least 18 years old (or the age of majority in your jurisdiction)
Have the legal authority to enter into this Agreement
Provide accurate, current, and complete information when registering

Accounts created using false information or for fraudulent purposes may be terminated.

3. Account Registration and Security

You may need to create an account to access certain features. You agree to:

Maintain the confidentiality of your login credentials
Accept responsibility for all activities under your account
Notify us immediately at team@backlinkz.io if you suspect unauthorized access

We are not liable for any loss or damage resulting from failure to safeguard your credentials.

4. Marketplace Transactions

All transactions are processed through Stripe, Inc. and subject to its Terms of Service.
By using the Marketplace, you acknowledge and agree that:

You will provide accurate payment and billing information
Stripe may store limited payment data on your behalf
We are not responsible for payment processor errors or disputes
All prices are displayed in U.S. Dollars (USD) unless otherwise stated

4.1 Refunds and Disputes

Refunds are handled in accordance with our posted policies and subject to Stripe’s processing terms.
If you believe a transaction is unauthorized or incorrect, contact team@backlinkz.io within 14 days of the charge.

5. User-Generated Content

You retain ownership of the content you create and post on the Sites, including listings, reviews, comments, and communications (“User Content”), but you grant Backlinkz a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your User Content for the operation, promotion, and improvement of the platform.

You agree that your User Content will not:

Contain false, misleading, or deceptive information
Infringe on intellectual property or privacy rights of others
Include hate speech, harassment, or illegal activity

We reserve the right to remove or moderate any content that violates these Terms.

6. Prohibited Conduct

You agree not to:

Use the Sites for unlawful, misleading, or fraudulent purposes
Post, share, or promote spam or malware
Interfere with the Sites’ functionality, security, or other users’ experience
Copy, scrape, or use automated systems to collect data from the Sites
Attempt to gain unauthorized access to our servers or data

Violations may result in suspension or permanent account termination.

7. Intellectual Property

All content, trademarks, design, and software on the Sites (excluding User Content) are the property of Backlinkz or its licensors and are protected under applicable copyright and intellectual property laws.
You may not copy, modify, or reproduce any materials without prior written permission.

8. Fees and Taxes

Users may be charged service fees or commissions on transactions within the Marketplace.
Applicable taxes (such as VAT, GST, or sales tax) may be added to fees where required by law.
You are solely responsible for reporting and remitting taxes based on your jurisdiction.

9. Marketing Communications

By creating an account or subscribing, you consent to receive transactional and promotional communications from Backlinkz.
You can unsubscribe anytime via email preferences or by contacting team@backlinkz.io.

10. Disclaimers

The Sites and all related services are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, express or implied.

We do not guarantee:

Accuracy, completeness, or reliability of listings or user content
That the Sites will operate uninterrupted or error-free
Any specific outcomes from using the platform

Backlinkz disclaims all liability for the acts, omissions, or representations of third-party users or service providers.

11. Limitation of Liability

To the maximum extent permitted by law, Backlinkz and its affiliates, directors, employees, and partners shall not be liable for:

Indirect, incidental, special, or consequential damages
Any loss of profits, data, goodwill, or reputation
Damages resulting from your use of (or inability to use) the Sites

Our total cumulative liability for any claim arising out of or related to these Terms shall not exceed $100 USD.

12. Indemnification

You agree to indemnify and hold harmless Backlinkz, its affiliates, employees, and partners from any claims, losses, or damages arising from:

Your breach of these Terms
Your User Content
Your use of the Sites or violation of any law or rights of a third party

13. Termination

We may suspend or terminate your access to the Sites at any time, with or without notice, if:

You violate these Terms
We are required by law or regulatory order
Your activities pose risk to our users or systems

Upon termination, your right to use the Sites ceases immediately. Certain provisions (such as intellectual property, indemnification, and limitation of liability) shall survive termination.

14. Governing Law

These Terms are governed by the laws of British Columbia, Canada, and applicable U.S. federal laws where relevant.
Any disputes shall be resolved in the courts of Vancouver, British Columbia, unless otherwise required by local law.

15. U.S. Users – Additional Rights

If you reside in the United States:

You agree that arbitration may be used for dispute resolution where legally permitted.
You waive any right to participate in class actions or jury trials to the extent allowed by law.

16. Changes to Terms

We may update these Terms periodically. Continued use of our Sites after changes constitutes acceptance of the updated Terms.
